Terms of service

1. Acceptance of terms

By accessing or using ScootHero’s platform, services, or APIs (collectively, the “Services”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Services. These Terms apply to all users, including merchants, delivery businesses, drivers, and third-party integration partners.

2. Description of service

ScootHero provides an electric two-wheeler fleet management and last-mile delivery facilitation platform. Our Services include fleet leasing facilitation, battery swap network access (HeroGo), maintenance and insurance subscriptions (HeroCare), telematics and fleet data services (Lighthouse), and customer communication tools including WhatsApp Business messaging.

3. Eligibility

You must be at least 18 years old and legally capable of entering into a binding contract under South African law to use the Services. By using the Services, you represent and warrant that you meet these requirements. Business users must be duly authorised representatives of their organisation.

4. Acceptable use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You must not: use the Services to send unsolicited communications or spam; impersonate any person or entity; attempt to gain unauthorised access to any part of the Services; use automated tools to scrape, crawl, or extract data from the platform without written permission; violate any applicable law or regulation, including the Electronic Communications and Transactions Act (ECTA) and POPIA.

5. Customer communications via Whatsapp

ScootHero uses the WhatsApp Business API to send transactional and service messages to customers and delivery recipients. By providing a phone number in connection with our Services, you consent to receive messages from ScootHero via WhatsApp. These messages may include order updates, delivery notifications, driver coordination, and service alerts. You may opt out at any time by replying STOP or contacting us at info@scoothero.co.za. We will only send messages that are permitted under Meta’s WhatsApp Business Policy and applicable South African law.

6. Fees and payment

Fees for the Services are as set out in your applicable service agreement, lease agreement, or order form. All fees are quoted and payable in South African Rand (ZAR) unless otherwise agreed in writing. ScootHero reserves the right to update its fees on reasonable notice. Continued use of the Services after a fee change constitutes acceptance of the new fees.

7. Third-party services

The Services may integrate with or link to third-party platforms including payment processors, e-commerce marketplaces, and logistics partners. ScootHero is not responsible for the availability, accuracy, or content of third-party services. Your use of third-party services is governed by their respective terms and privacy policies.

8. Intellectual property

All content, software, trademarks, logos, and materials made available through the Services are the property of ScootHero (Pty) Ltd or its licensors. You are granted a limited, non-exclusive, non-transferable licence to use the Services for their intended purpose. Nothing in these Terms transfers any intellectual property rights to you.

9. Data and privacy

ScootHero collects and processes personal information in accordance with our Privacy Policy and POPIA. By using the Services, you consent to this processing. If you wish to request deletion of your data, see our Data Deletion Instructions.

10. Service availability

ScootHero aims to provide reliable, continuous access to the Services but does not guarantee uninterrupted availability. We may perform scheduled maintenance, updates, or emergency interventions that temporarily affect access. We will provide reasonable advance notice of planned maintenance where possible.

11. Limitation of liability

To the maximum extent permitted by South African law, ScootHero shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of or inability to use the Services, even if ScootHero has been advised of the possibility of such damages. ScootHero’s total liability to you for any claim arising under these Terms shall not exceed the amount you paid for the Services in the 3 months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless ScootHero (Pty) Ltd, its directors, employees, and agents from and against any claims, losses, damages, liabilities, and expenses (including reasonable legal fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of any third-party rights.

13. Termination

ScootHero may suspend or terminate your access to the Services at any time for breach of these Terms, non-payment, or any other reason on reasonable notice, except where immediate action is required to protect the platform or other users. You may terminate your use of the Services at any time subject to the terms of any applicable service agreement.

14. Governing law

These Terms are governed by the laws of the Republic of South Africa. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of South Africa. For consumer complaints, you may also approach the relevant ombud or the National Consumer Commission.

15. Changes to terms

ScootHero may update these Terms from time to time. We will notify you of material changes via the platform or email at least 30 days before the changes take effect. Continued use of the Services after notification constitutes acceptance of the updated Terms. The current version of these Terms is always available at https://www.scoothero.co.za/terms-of-service.
